{"id":74566,"date":"2023-02-23T15:06:52","date_gmt":"2023-02-23T13:06:52","guid":{"rendered":"https:\/\/forklog.com\/en\/?p=74566"},"modified":"2025-09-09T20:52:49","modified_gmt":"2025-09-09T17:52:49","slug":"sec-and-nydfs-oppose-sale-of-voyager-digital-assets-to-binance-us","status":"publish","type":"post","link":"https:\/\/forklog.com\/en\/sec-and-nydfs-oppose-sale-of-voyager-digital-assets-to-binance-us\/","title":{"rendered":"SEC and NYDFS oppose sale of Voyager Digital assets to Binance.US"},"content":{"rendered":"<p><span data-descr=\"U.S. Securities and Exchange Commission\" class=\"old_tooltip\">SEC<\/span> and the New York Department of Financial Services (NYDFS) <a href=\"https:\/\/cases.stretto.com\/public\/x193\/11753\/PLEADINGS\/1175302222380000000121.pdf\">\u0432\u044b\u0441\u0442\u0443\u043f\u0438\u043b\u0438 \u043f\u0440\u043e\u0442\u0438\u0432<\/a> \u043f\u043e\u043a\u0443\u043f\u043a\u0438 \u0430\u043a\u0442\u0438\u0432\u043e\u0432 \u043e\u0431\u0430\u043d\u043a\u0440\u043e\u0442\u0438\u0432\u0448\u0435\u0433\u043e\u0441\u044f \u043a\u0440\u0438\u043f\u0442\u043e\u0432\u0430\u043b\u044e\u0442\u043d\u043e\u0433\u043e \u0431\u0440\u043e\u043a\u0435\u0440\u0430 Voyager Digital \u0430\u043c\u0435\u0440\u0438\u043a\u0430\u043d\u0441\u043a\u0438\u043c \u0444\u0438\u043b\u0438\u0430\u043b\u043e\u043c Binance.<\/p>\n<p>In the SEC&#8217;s view, the $1.02 billion deal could violate securities laws because it contemplates paying down debts to former Voyager clients, including in the native VGX token.<\/p>\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cTransacting cryptoassets needed for rebalancing and redistributing such assets among account holders could violate the prohibition on unregistered offers and sales of securities,\u201d the agency said.<\/p>\n<\/blockquote>\n<p>The regulator also pointed to <a href=\"https:\/\/forklog.com\/en\/news\/binance-says-it-is-prepared-to-pay-fines-to-settle-claims-by-u-s-authorities\">upcoming fines<\/a> from Binance for past anti-money-laundering and bribery law violations as evidence that the deal could be &#8216;impossible to complete&#8217;.<\/p>\n<p>In turn, NYDFS and <a href=\"https:\/\/cases.stretto.com\/public\/x193\/11753\/PLEADINGS\/1175302222380000000174.pdf\">\u0433\u0435\u043d\u0435\u0440\u0430\u043b\u044c\u043d\u044b\u0439 \u043f\u0440\u043e\u043a\u0443\u0440\u043e\u0440 \u041b\u0435\u0442\u0438\u0446\u0438\u044f \u0414\u0436\u0435\u0439\u043c\u0441<\/a> stated that Voyager illegally serves clients in the state.<\/p>\n<p>NYDFS added that the plan discriminates against New York residents, as they will not be able to recover cryptocurrency for six months while Binance.US awaits state approval.<\/p>\n<p>Earlier in January, the SEC had already <a href=\"https:\/\/forklog.com\/en\/news\/voyager-brands-criticism-of-binance-us-deal-as-hypocritical\">opposed the deal<\/a>, questioning Binance.US&#8217;s ability to finance it.
