Many L2s use a centralized transaction ordering mechanism to reduce fees and prevent <a href=\"https:\/\/forklog.com\/en\/news\/what-is-mev-in-ethereum\">front-running<\/a> by bots.<\/p>\n<p>The topic was highlighted by <a href=\"https:\/\/www.youtube.com\/watch?v=VbtUh7-6mEw\">recent remarks<\/a> from SEC Commissioner <span data-descr=\"U.S. Securities and Exchange Commission\" class=\"old_tooltip\">SEC<\/span> <a href=\"https:\/\/forklog.com\/en\/news\/who-is-hester-peirce-and-why-is-she-dubbed-the-crypto-mom\">Hester Peirce<\/a>. She noted that such mechanisms could raise regulatory questions\u2014especially if they resemble the operations of centralized exchanges.<\/p>\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cIf you have a transaction matching mechanism that is effectively controlled by a single entity managing all its elements, then it is much more like an exchange, and we will have to consider this fact,\u201d emphasized the \u201ccrypto mom.\u201d<\/p>\n<\/blockquote>\n<p>However, she stressed that if the matched assets are not securities, \u201cthen we generally have nothing to add.\u201d<\/p>\n<h2 class=\"wp-block-heading\">It&#8217;s Different<\/h2>\n<p>Coinbase&#8217;s Chief Legal Officer Paul Grewal <a href=\"https:\/\/x.com\/iampaulgrewal\/status\/1970206730878624211\">noted<\/a> that equating L2 sequencers with centralized exchanges distorts their purpose and functions.<\/p>\n<p>According to him, the SEC views an \u201cexchange\u201d as a platform for bringing together buyers and sellers of securities. Meanwhile, layer-two solutions are \u201cgeneral-purpose blockchains that function as infrastructure.\u201d<\/p>\n<p>Such networks process messages in the form of code, invoke smart contracts, and form transaction bundles\u2014be they payments, calls, or messages.<\/p>\n<p>He compared L2s like Base to Amazon Web Services (AWS): both platforms run developer-written code, including trading applications. However, this does not make the infrastructure itself an exchange.<\/p>\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cIf an exchange operates on AWS, does that mean AWS is an exchange? According to him, users can conduct transactions both through Base and directly on the Ethereum network, maintaining decentralization and censorship resistance.<\/p>\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cIt&#8217;s like a traffic regulator ensuring a smooth flow on a priority lane that allows vehicles to reach their destination faster,\u201d the expert explained.<\/p>\n<\/blockquote>\n<p>He emphasized that sequencers are not \u201ctransaction matching mechanisms\u201d like those used on traditional exchanges.<\/p>\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>\u201cMatching engines match buy and sell orders at specified prices for trade execution. Sequencers do not do this\u2014they merely determine the order of transaction processing,\u201d Pollak added.<\/p>\n<\/blockquote>\n<p>If layer-two solutions were considered exchanges, they would have to register with the SEC as trading platforms, meet a range of regulatory requirements, and operate under restrictions.
